TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of the ArtJel website and the purchase of products from ArtJel.

ArtJel is operated by Aria Aviation Ltd, a company registered in England and Wales under company number 12129597, with its registered office at 136 St. Albans Road, Watford, England, WD24 4FT ("ArtJel", "we", "us" or "our").

By using this website, submitting an order, or purchasing from ArtJel, you agree to these Terms. Where a separate Sales Agreement is entered into for a particular purchase, that Sales Agreement will also form part of the contract between you and ArtJel.

Nothing in these Terms excludes or limits any rights that cannot lawfully be excluded or limited under applicable consumer law.


1. ABOUT ARTJEL

ArtJel specialises in the sale and procurement of artworks, sculptures, handcrafted pieces, decorative objects, artisan products and other art and craft items.

Certain items may be specially sourced, procured, commissioned, prepared, finished or made to order following confirmation of a customer's purchase.

Products may be sourced from artists, artisans, workshops, manufacturers and specialist suppliers in the United Kingdom and internationally.


2. PRODUCT INFORMATION

We take reasonable care to ensure that descriptions, photographs, dimensions, materials and other information displayed on our website are accurate.

However, artworks and handcrafted products may have individual characteristics and reasonable variations in colour, patina, grain, texture, finish, dimensions, weight, detailing and appearance.

Such variations are often inherent in handmade, individually produced, traditional, natural-material or artistic products and do not necessarily constitute defects.

Photographs are intended to provide a reasonable representation of an item. The appearance of colours, textures and finishes may vary due to photography, lighting, screen settings and the individual characteristics of the item.

Where a particular specification, customisation, finish, dimension, material or other characteristic is expressly agreed with the customer, the agreed specification may be recorded in the relevant Sales Agreement, order confirmation or other written communication.


3. ORDERS

An order submitted through our website constitutes an offer to purchase.

We reserve the right to accept or decline an order, including where an item is unavailable, there is an error in the price or description, we cannot arrange delivery to the customer's location, or we reasonably believe that we cannot fulfil the order.

For certain high-value, specially sourced, commissioned, customised or made-to-order items, we may require the customer to enter into a separate Sales Agreement before the order is finally accepted or procurement or production begins.

Where a Sales Agreement is required, the customer will be provided with the relevant terms and specifications applicable to that particular transaction.

A contract for sale will arise when the order is accepted in accordance with the applicable order process or Sales Agreement.


4. PRICES AND PAYMENT

Prices displayed on the website are shown in the currency applicable to the relevant market where available.

The price payable will be the price confirmed at checkout, in the order confirmation, quotation or applicable Sales Agreement.

Unless expressly stated otherwise, prices do not include customs duties, import taxes, customs clearance charges, local taxes, brokerage charges or similar charges imposed by authorities or third parties in the destination country.

Payment must be made using a payment method accepted by ArtJel.

For certain purchases, we may require full payment, a deposit or staged payments as specified in the relevant quotation, invoice or Sales Agreement.

We will not normally commence procurement, commissioning, customisation or production until the payment required at that stage has been received and cleared.


5. SOURCING, PROCUREMENT AND COMMISSIONED ITEMS

Certain products displayed by ArtJel may not be held in stock by us.

Following confirmation of an order, ArtJel may procure the selected item from an artist, artisan, workshop, manufacturer, specialist supplier or other source.

Some products may be commissioned, specially manufactured, customised, finished or otherwise prepared specifically following the customer's order.

Where applicable, estimated production, procurement or preparation times will be communicated to the customer.

Any timescale given for sourcing, manufacture, preparation, packing or dispatch is an estimate unless expressly agreed otherwise in writing.

For high-value or specially procured items, the specific arrangements may be set out in the applicable Sales Agreement.


6. BESPOKE, PERSONALISED AND MADE-TO-SPECIFICATION GOODS

Certain ArtJel products may be made to the customer's specifications, clearly personalised, specially commissioned or otherwise created to requirements agreed specifically with that customer.

Where an item falls within an applicable legal exception for goods made to a consumer's specifications or clearly personalised, the statutory right to cancel a distance contract simply because the customer has changed their mind may not apply.

We will identify this where applicable before the customer becomes bound by the purchase.

The fact that an item is sourced or ordered from a supplier after a customer places an order does not, by itself, necessarily make that item bespoke or personalised.

Nothing in this section affects the customer's statutory rights where goods are faulty, not as described or otherwise fail to conform to the contract.


7. CANCELLATIONS AND CHANGES

Because many ArtJel transactions involve high-value, specialist or specially procured products, customers should carefully review all product details, specifications, measurements, prices, delivery arrangements and other relevant information before confirming an order.

Where the law provides a consumer with a statutory right to cancel, that right will apply in accordance with applicable law.

Where no statutory cancellation right applies, including where an applicable exception for genuinely bespoke or personalised goods applies, cancellation will only be permitted where expressly provided for in the relevant Sales Agreement or agreed by ArtJel in writing.

Requests to alter an order after it has been accepted will be considered at our discretion and may result in additional costs or changes to the estimated delivery date.

This section does not affect statutory rights that cannot legally be excluded.


8. DELIVERY

ArtJel products may require specialist packing, crating, handling, freight or delivery arrangements because of their size, weight, fragility, value or nature.

Delivery arrangements, estimated timescales and applicable charges will be displayed, quoted or otherwise communicated to the customer where appropriate.

Certain products may be shipped internationally from the artist, artisan, manufacturer, supplier, workshop or other location from which the product is sourced.

Delivery times are estimates unless a particular delivery date has expressly been agreed as binding.

Customers are responsible for providing complete and accurate delivery information and for ensuring that the delivery location is reasonably accessible for the relevant product.

For large, heavy, fragile, high-value or specialist items, the customer may be required to provide information concerning access, entrances, staircases, lifts, loading restrictions, delivery hours or other circumstances relevant to safe delivery.

Additional charges resulting from incorrect delivery information, failed delivery, inaccessible premises or circumstances outside ArtJel's reasonable control may be charged to the customer where lawful and appropriate.


9. INTERNATIONAL ORDERS, CUSTOMS AND IMPORT CHARGES

Products delivered internationally may be subject to customs procedures, import duties, import taxes, local taxes, brokerage charges, customs clearance charges and other fees imposed by governmental authorities, carriers or other third parties.

Unless expressly stated otherwise in writing, such charges are not included in the purchase price or delivery charge and are the responsibility of the customer.

The customer is responsible for complying with applicable import requirements in the destination country.

Where reasonably necessary, the customer must provide information or documentation required for customs clearance.

ArtJel is not responsible for delays caused by customs authorities or import procedures that are outside our reasonable control.

Nothing in this section makes the customer responsible for a charge that applicable law requires ArtJel to bear or that was not properly disclosed where the law requires prior disclosure.


10. INSPECTION ON DELIVERY

Customers should inspect products as soon as reasonably practicable following delivery.

If an item appears to have suffered damage in transit, the customer should, where reasonably possible, photograph the external packaging before opening it and photograph the product and any visible damage.

The customer should notify ArtJel promptly at info@artjel.com and provide the order details together with photographs and other relevant information.

Prompt notification assists us in investigating claims with carriers, insurers, suppliers and other parties.

Failure to notify us immediately does not remove any statutory consumer rights that cannot lawfully be excluded.


11. RETURNS AND REFUNDS

Returns, cancellations and refunds are governed by our Return and Refund Policy, these Terms, any applicable Sales Agreement and applicable law.

High-value, specialist, commissioned, customised, personalised or made-to-specification products may be subject to particular return or cancellation conditions.

Where a customer has a statutory right to cancel or return goods, ArtJel will honour that right.

Where an applicable legal exception means that a statutory change-of-mind cancellation right does not apply, ArtJel is not required to accept a cancellation or return merely because the customer has changed their mind.

Nothing in these Terms or our Return and Refund Policy excludes or restricts a customer's statutory rights in relation to goods that are faulty, not as described, not of satisfactory quality or otherwise fail to conform to the contract.


12. OWNERSHIP AND RISK

Ownership of goods will pass in accordance with the applicable Sales Agreement or, where there is no separate provision, once ArtJel has received full cleared payment for the goods.

Risk in the goods will pass in accordance with applicable law and the agreed delivery arrangements.

Nothing in these Terms transfers risk to a consumer earlier than permitted by applicable consumer law.


13. AUTHENTICITY, PROVENANCE AND ARTISTIC ATTRIBUTION

Where ArtJel provides information concerning the origin, maker, artist, artisan, materials, manufacturing method, provenance, age or other characteristics of an item, such information will be based on information reasonably available to us, including information supplied by the artist, artisan, workshop, manufacturer or supplier.

Where a certificate of authenticity, provenance document or other supporting documentation is expressly included with a product, this will be stated in the product description, quotation or Sales Agreement.

Customers should not assume that such documentation is included unless expressly stated.


14. INTELLECTUAL PROPERTY

All content on the ArtJel website, including text, branding, logos, graphics, website design and other material owned by ArtJel, is protected by applicable intellectual property laws.

Product photographs and images may also be owned by ArtJel, artists, artisans, manufacturers, suppliers or other rights holders.

Website content may not be copied, reproduced, distributed, commercially exploited or used without appropriate permission, except where permitted by law.


15. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

In particular, nothing in these Terms excludes or restricts liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any statutory consumer rights that cannot lawfully be excluded.

If you are purchasing as a consumer, we are responsible for losses that are a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill, subject to applicable law.

We are not responsible for losses caused by circumstances outside our reasonable control except where applicable law provides otherwise.

If you purchase goods wholly or mainly for business purposes, additional limitations of liability may be contained in the applicable Sales Agreement.


16. EVENTS OUTSIDE OUR REASONABLE CONTROL

We will not be responsible for delay or failure to perform caused by circumstances outside our reasonable control, subject to any rights available to consumers under applicable law.

Such circumstances may include transport disruption, carrier delays, customs delays, industrial action, natural disasters, severe weather, governmental restrictions, war, civil disturbance, supply-chain disruption, export or import restrictions, or disruption affecting artists, artisans, workshops, manufacturers or suppliers.

Where such circumstances materially affect an order, we will take reasonable steps to communicate with the customer and determine an appropriate course of action.


17. CUSTOMER RESPONSIBILITIES

Customers are responsible for ensuring that information supplied to ArtJel is accurate and complete.

Before purchasing large, heavy or specialist products, customers should satisfy themselves that the item is suitable for its intended location and that there is adequate access for delivery and installation where applicable.

Unless installation is expressly included in the Sales Agreement, the customer is responsible for arranging appropriate installation, mounting, positioning or specialist handling after delivery.


18. PRIVACY

Personal information is processed in accordance with our Privacy Policy and applicable data protection law.

Customers should review our Privacy Policy for information about how personal data is collected, used and protected.


19. WEBSITE AVAILABILITY

We aim to keep the ArtJel website accurate and available but do not guarantee uninterrupted or error-free access.

We may change, suspend or withdraw parts of the website where reasonably necessary.

Product availability, descriptions and prices may change from time to time. Changes will not retrospectively alter a contract already entered into except where agreed with the customer or permitted by law.


20. SALES AGREEMENTS

For certain high-value, commissioned, bespoke, personalised, specially sourced or specialist transactions, ArtJel may require a separate Sales Agreement.

The Sales Agreement may contain product-specific provisions including specifications, payment schedules, commissioning arrangements, procurement conditions, estimated completion dates, delivery arrangements, customs responsibilities, inspection procedures, insurance arrangements and cancellation provisions.

The Sales Agreement and these Terms should be read together.

If there is an inconsistency between these Terms and a Sales Agreement expressly agreed for a particular transaction, the Sales Agreement will take precedence in relation to that transaction, except where doing so would unlawfully restrict a consumer's statutory rights.


21. GOVERNING LAW

These Terms and contracts between ArtJel and its customers are governed by the laws of England and Wales, subject to any mandatory consumer protections that apply to customers residing elsewhere.

If you are a consumer resident in another jurisdiction, you may also have mandatory rights under the laws applicable to you which these Terms do not remove.

The courts of England and Wales will have jurisdiction, subject to any rights consumers may have to bring proceedings in another competent jurisdiction under applicable law.


22. CHANGES TO THESE TERMS

We may update these Terms from time to time.

The Terms applicable to an order will normally be those in effect when the relevant contract is entered into, together with any Sales Agreement applicable to that purchase.
